VirtuClair is a consultation platform that connects users with vetted experts across multiple fields including healthcare, legal, engineering, career development, lifestyle, and more. We provide both instant and scheduled consultation sessions, making expert advice simple, affordable, and within reach for everyone.
2. ACCEPTANCE OF TERMS
By:
- Creating an account on VirtuClair
- Accessing or using our Platform
- Booking or participating in consultations
You acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Data Protection Policy, which are incorporated herein by reference.
3. ELIGIBILITY
To use VirtuClair, you must:
- Be at least 18 years of age, or the age of majority in your jurisdiction
- Have the legal capacity to enter into binding contracts
- Provide accurate and complete registration information
- Comply with all applicable laws and regulations in your jurisdiction
If you are accessing VirtuClair on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Account Creation
To access certain features of the Platform, you must create an account by providing:
- Full name
- Email address
- Phone number
- Password
- Any other information required during registration
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
VirtuClair will not be liable for any loss or damage arising from your failure to protect your account information.
4.3 Account Accuracy
You agree to provide accurate, current, and complete information and to update such information promptly when it changes. Providing false or misleading information may result in account suspension or termination.

6. PLATFORM SERVICES
6.1 Consultation Services
VirtuClair provides a platform for users to:
- Search for and connect with vetted experts across multiple fields
- Book instant or scheduled consultation sessions
- Communicate with experts via video, audio, or chat
- Access consultation records and history (where applicable)
6.2 Expert Verification
While we take reasonable steps to verify the credentials and qualifications of experts on our Platform, VirtuClair:
- Does not employ the experts directly
- Acts as an intermediary platform connecting users with independent professionals
- Cannot guarantee specific outcomes from consultations
- Is not responsible for the professional conduct of experts beyond our verification and monitoring processes
6.3 Not a Substitute for Emergency Services
Important: VirtuClair is not intended for emergency situations. If you are experiencing a medical emergency, legal crisis, or any situation requiring immediate professional intervention, please contact local emergency services or visit the nearest appropriate facility immediately.
7. USER RESPONSIBILITIES
7.1 Acceptable Use
You agree to use VirtuClair only for lawful purposes and in accordance with these Terms. You will not:
- Provide false or misleading information
- Impersonate any person or entity
- Use the Platform to harass, abuse, or harm others
- Attempt to gain unauthorized access to the Platform or other users' accounts
- Upload malicious code, viruses, or harmful content
- Scrape, copy, or reproduce Platform content without authorization
- Use the Platform for any illegal or fraudulent activity
- Share or resell your account access to third parties
7.2 Consultation Conduct
During consultations, you agree to:
- Treat experts with respect and professionalism
- Provide accurate information relevant to your consultation
- Respect the expert's time and scheduled session duration
- Not record sessions without explicit consent from all parties (where legally required)
7.3 Content You Provide
You retain ownership of any content you submit through the Platform, but you grant VirtuClair a limited license to use, store, and process such content solely to provide our services.
8. PAYMENTS AND FEES
8.1 Consultation Fees
Consultation fees are determined by individual experts and displayed clearly before booking. All fees are quoted in Nigerian Naira (NGN) unless otherwise specified.
8.2 Payment Processing
All payments are processed securely through our third-party payment processors
You authorize us to charge your selected payment method for consultation fees
Payment must be completed before or at the time of consultation, as specified
8.3 Cancellations and Refunds
User Cancellations: Cancellation policies vary by expert and will be clearly stated at the time of booking
Expert Cancellations: If an expert cancels a scheduled consultation, you will receive a full refund
No-Shows: Failing to attend a scheduled consultation without proper cancellation may result in forfeiture of fees
Refund Processing: Approved refunds will be processed within 7-14 business days
8.4 Pricing Changes
VirtuClair reserves the right to modify Platform fees with reasonable notice. Changes will not affect consultations already booked.
9. INTELLECTUAL PROPERTY
9.1 Platform Ownership
All content, features, functionality, and materials on the VirtuClair Platform, including but not limited to:
- Software, code, and algorithms
- Text, graphics, logos, and design elements
- Trademarks and brand elements
- Platform architecture and layout are owned by VirtuClair or our licensors and are protected by copyright, trademark, and other intellectual property laws.
9.2 Limited License
Subject to these Terms, VirtuClair grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes.
9.3 Restrictions
You may not:
- Copy, modify, or create derivative works of the Platform
- Reverse engineer, decompile, or disassemble any Platform software
- Remove or alter any proprietary notices
- Use the Platform for commercial purposes without authorization
10. THIRD-PARTY SERVICES
VirtuClair may integrate with or link to third-party services (payment processors, video conferencing tools, etc.). Your use of such services is governed by their respective terms and privacy policies. VirtuClair is not responsible for the practices or content of third-party services.
11. DISCLAIMERS AND LIMITATIONS OF LIABILITY
11.1 Platform "As Is"
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11.2 No Professional Advice Guarantee
While we connect you with qualified experts, VirtuClair:
- Does not provide professional advice directly
- Cannot guarantee the accuracy, completeness, or usefulness of expert advice
- Is not liable for decisions you make based on consultations
- Recommends you verify critical information with additional sources when appropriate
11.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRTUCLAIR, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Any damages arising from your use or inability to use the Platform
- Any conduct or content of experts or other users
- Unauthorized access to or alteration of your data
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO VIRTUCLAIR IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
11.4 Jurisdictional Variations
Some jurisdictions do not allow the limitation or exclusion of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless VirtuClair, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any rights of another party
- Your conduct during consultations
- Any content you submit or transmit through the Platform
13. CONFIDENTIALITY
13.1 Consultation Confidentiality
VirtuClair recognizes the sensitive nature of consultations. We implement technical and organizational measures to maintain confidentiality, including:
- Secure, private consultation environments
- Confidentiality obligations for all platform personnel
- Limited access to consultation content
- Secure storage and transmission protocols
13.2 Expert-Client Privilege
Where applicable (such as legal consultations), professional privilege and confidentiality standards apply according to the relevant professional regulations and laws.
13.3 Exceptions
Confidentiality may be breached only when:
- Required by law or court order
- Necessary to prevent imminent harm to persons
- Needed to investigate fraud or Terms violations
- You provide explicit consent
14. TERMINATION
14.1 Termination by You
You may terminate your account at any time by:
- Accessing account settings and selecting "Delete Account"
- Contacting our support team at [support email]
Upon termination, you remain responsible for any outstanding fees or obligations.
14.2 Termination by VirtuClair
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Abuse or harass experts or other users
- Provide false information
- Pose a security risk to the Platform
14.3 Effect of Termination
Upon termination:
- Your right to access the Platform ceases immediately
- We may delete your account data subject to legal retention requirements
- Provisions of these Terms that by their nature should survive (including payment obligations, disclaimers, and limitations of liability) will continue to apply
15. DISPUTE RESOLUTION
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
15.2 Negotiation First
In the event of any dispute arising from these Terms or your use of the Platform, you agree to first attempt to resolve the dispute informally by contacting us at [legal email].
15.3 Arbitration
If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria, conducted in Lagos, Nigeria. The arbitration shall be conducted in English.
15.4 Exceptions
Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.
15.5 Class Action Waiver
You agree that disputes will be resolved on an individual basis and waive any right to participate in class-action lawsuits or class-wide arbitration.
16. CHANGES TO TERMS
VirtuClair reserves the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this document
- Notify you via email or Platform notification
- Provide at least 30 days' notice for material changes
Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform and may terminate your account.
17. GENERAL PROVISIONS
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and VirtuClair regarding your use of the Platform.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
17.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. VirtuClair may assign these Terms without restriction.
17.5 Force Majeure
VirtuClair shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, governmental actions, internet failures, or other force majeure events.

These Terms are provided in English. In the event of any translation, the English version shall prevail.
